Terms of Service (also referred to as “Terms and Conditions”)

Last updated: April 25, 2026

Thank you for choosing Pulsessivo.ai. These Terms of Service (also referred to as “Terms and Conditions” or “Terms of Use”; collectively, the “Terms”) govern your access to and use of the Pulsessivo.ai software-as-a-service platform for digital management and documentation (the “Platform” or “Services”), operated by Pulsessivo.ai (“we”, “us”, “our”). By creating an account or using the Services, you agree to be bound by these Terms.

References to “Terms of Service”, “Terms and Conditions”, or “Terms of Use” in these documents or related policies all refer to this same agreement. In Italy/EU, these may also be called “Condizioni Generali di Servizio” or “Contratto”.

1.2 Interpretation. Headings are for convenience only and do not affect interpretation. References to “including” mean “including without limitation.” Any reference to legislation includes amendments and successor regulations. References to EU, UK, and US law are intended to ensure compliance for users in those jurisdictions.

2. Service Description and Platform Access

2.1 Provision of Services. Subject to these Terms, we grant Customer a non-exclusive, non-transferable, non-sublicensable right for Authorized Users to access and use the Services and Documentation during the Subscription Term for Customer’s internal business purposes (or personal use, for consumers).

2.2 Account Registration. You must provide accurate and complete information and keep it updated. You are responsible for all activities under your Account and for maintaining the confidentiality of credentials. Accounts are for a single legal entity or individual and may not be shared beyond the Authorized Users you designate.

2.3 Changes to Services. We may make improvements, modifications, or deprecations to features, provided such changes do not materially reduce the core functionality of the subscribed plan. If we materially reduce functionality, you may terminate under Section 14.2.

2.4 Beta/Preview Features. We may offer experimental or beta features marked as such. Beta features are provided “as is,” may be withdrawn at any time, and are excluded from the SLA and support commitments.

2.5 Youth Team Programs. Customer may use the Services for organization-managed youth teams, including athletes under 18, only where Customer is a club, academy, school, federation, or coach authorized to act on behalf of such organization and complies with Applicable Law. Customer must not permit direct self-service registration by children under 16. Customer is responsible for age verification, providing age-appropriate notices to players and parents/guardians, obtaining parent/guardian consent and player assent where required, limiting access to authorized adults and trained staff, and ensuring the Services are used only for general wellness, training load, and sports performance purposes.

3. Subscription Period and Renewal

3.1 Term. Your subscription starts on the Commencement Date stated in the Order and continues for the initial term selected.

3.2 Auto-Renewal. Unless you cancel before the end of the then-current term, your subscription automatically renews for successive yearly periods. We will notify you of price changes before renewal where required by Applicable Law.

3.3 Plan Changes. Upgrades take effect immediately; downgrades take effect at the next renewal. Upgraded Fees are prorated for the remainder of the current term.

4. Free Trials and Demos

4.1 Free Trial. We may offer a time-limited trial with reduced or full functionality. Trials are provided “as is,” without SLA or support, and may be terminated at any time.

4.2 Demo and Support Services. We may provide demo environments, onboarding, and support interactions (including via our AI chat assistant and email support). Demos may use synthetic or sample data and are not for production use.

5. Acceptable Use and Customer Responsibilities

5.1 Acceptable Use. You must not: (a) violate any law; (b) infringe third-party rights; (c) upload malicious code; (d) perform penetration testing without written consent; (e) attempt to circumvent security or access controls; (f) send spam or conduct phishing; (g) use the Services to create or distribute unlawful, harmful, or discriminatory content; or (h) resell, lease, or provide the Services to third parties except as expressly permitted.

5.2 Customer Content. You are responsible for the accuracy, quality, legality, and means of acquiring Content and for configuring the Services in accordance with Applicable Law (including retention settings).

5.3 Open-Source and Third-Party Services. The Services may interoperate with third-party tools subject to their terms. We are not responsible for third-party services.

6. Fees, Payment, and Invoicing

6.1 Fees. You agree to pay the Fees in the currency indicated in the Order. Unless expressly stated otherwise, all prices are exclusive of VAT/IVA and similar taxes. For EU customers, VAT is charged per EU VAT rules; reverse charge may apply for EU businesses providing a valid VAT number; non-EU customers are responsible for applicable taxes. Invoices are issued in compliance with Italian law and EU VAT directives.

Plan-level pricing and per-player equivalents (informative; your Order prevails):

  • Coach: up to €254.09/year (1 covered team × €66.66/year + registered players × €12.49/player/year, up to 15 football / 12 futsal / 12 basketball / 12 volleyball); 1 covered team slot included. Pricing scales with the number of players actually registered up to the plan maximum.
  • Pro Coach: up to €366.54/year (1 covered team × €66.66/year + registered players × €12.49/player/year, up to 24 football / 18 futsal / 18 basketball / 18 volleyball); 1 covered team slot included. Pricing scales with the number of players actually registered up to the plan maximum.
  • Club Pro: up to €574.83/year (up to 3 covered teams × €66.66/team/year + registered players × €12.49/player/year, up to 30 football / 24 futsal / 24 basketball / 24 volleyball); 3 covered team slots included. Pricing scales with the number of teams and players actually registered up to the plan maximum.

Hardware Add-ons:

  • PULSESSIVO Smart Bracelet: €19.99 per player for players within your plan's included capacity (discounted rate); €39.99 per player for extra players beyond plan limits (one-time purchase, available exclusively as a discounted add-on with yearly subscription plans only). Wearable device for real-time biometric monitoring, heart rate tracking, and performance analytics. Integrates seamlessly with the Platform to provide enhanced player wellness and workload data.

Regulatory Compliance & Vendor Certifications: The Smart Bracelet is sourced from certified third-party manufacturers who provide documentation confirming compliance with applicable regulations for consumer wellness devices, including CE marking (European Union electromagnetic compatibility and general product safety directives) and FCC Part 15 compliance (United States radio frequency emissions). These certifications are held by the original equipment manufacturer (OEM) and authorize resale within the respective jurisdictions.

Not a Medical Device: The Smart Bracelet and Platform are NOT medical devices and are NOT intended for medical diagnosis, treatment, cure, or prevention of disease. They are designed solely for general wellness, fitness tracking, and sports performance monitoring purposes. Data provided is for informational and training optimization use only and should not be relied upon for medical decision-making. Users with medical conditions should consult qualified healthcare professionals.

Resale Authorization: Pulsessivo.ai acts as an authorized reseller of wellness devices manufactured by third parties. The OEM retains primary responsibility for product compliance and provides necessary certifications. Pulsessivo.ai does not manufacture the hardware and provides it on an as-is basis with manufacturer warranties.

Bracelets are shipped directly to your billing address; shipping costs and delivery times vary by location and are calculated at checkout.

Add-ons & Overage (where applicable):

  • PULSESSIVO Smart Bracelet: €19.99 / player (included-capacity players, discounted) / €39.99 / player (extra players beyond plan limit) - one-time hardware purchase
  • Included Player Slots: €12.49 / player / year (billed per registered player up to plan capacity)
  • Extra Player Slots: €24.99 / player / year (players beyond plan capacity)
  • Included Team Slots: €66.66 / team / year (covered teams within plan limit)
  • Extra Team Slots: €99.99 / team / year (teams beyond plan limit)
  • Advanced Model Tuning: €199.99 / session (one-time)
  • Data Science Consulting Sessions: €399.99 / session (one-time)
  • API overage packs: tiered (e.g., 50k calls → €49)
  • Referral Bonus: +3 coach-points per paid referral

Fees for add-ons/overages accrue pro-rata for the remainder of the then-current Subscription Term unless stated otherwise in the Order. Hardware purchases (bracelets) are one-time charges billed immediately upon order.

6.2 Billing and Payment. Fees are billed in advance for each Subscription Term. You authorize us (and our payment processors) to charge the payment method on file. Late payments may incur statutory interest under the Italian Civil Code. We may suspend the Services for overdue amounts after prior notice.

6.3 Refunds. Except where required by law or expressly stated in these Terms, Fees are non-refundable. For consumers, Section 10.4 (Right of Withdrawal) applies.

6.4 Price Changes. We may update prices effective upon renewal and will notify you in advance as legally required.

6.5 Taxes, VAT/IVA, and Italian Invoicing. Unless otherwise stated, prices are exclusive of VAT/IVA. Where we operate under the Italian “regime forfettario”, invoices issued within Italy are typically without VAT/IVA and will state “IVA non applicabile – regime forfettario, art. 1, commi 54–89, L. 190/2014.” For EU B2B customers providing a valid VAT number, the reverse-charge mechanism may apply. For EU B2C sales, once the €10,000 annual cross-border threshold is exceeded, we will apply OSS (One-Stop Shop) and charge VAT at the customer’s country rate; below that threshold, Italian rules may apply. Customers outside the EU are responsible for any applicable taxes in their jurisdiction. (For the avoidance of doubt, the €2 imposta di bollo threshold (€77.47) is assessed per invoice, not per month or across multiple customers.)

6.6 Italian Stamp Duty (Imposta di Bollo). For invoices issued without VAT/IVA where the total invoice amount exceeds €77.47, a €2 imposta di bollo applies per invoice. We may recover this amount either as a separate line item ("Imposta di bollo assolta virtualmente – €2") or by incorporating it into the total payable. (Example: annual invoices for all subscription plans typically exceed €77.47 and will include a €2 stamp duty once per annual invoice.)

6.7 Promotions. From time to time, we may offer promotions or discounts subject to the terms disclosed at checkout or in the Order. Current promotions include:

  • Limited-Time Offer: 9% OFF on all yearly plans with voucher PULSE9VOUCHER (non-transferable; not redeemable for cash; may not be combined with other offers unless expressly stated; valid only for new or renewing annual terms during the promotional period).
  • Founder Plan: 15% lifetime discount for the first 20 teams that subscribe and maintain an active, continuously renewed subscription (losing eligibility upon cancellation or material payment default).

We may modify or discontinue promotions prospectively at any time; changes do not affect promotions already applied to an active, paid Subscription Term.

7. Provision of Services, Support, Maintenance, and SLA

7.1 Support. During the Subscription Term, we provide standard support via email (support@pulsessivo.ai) and our AI chat assistant during business hours (Mon–Fri, 09:00–18:00 CET/CEST). “Business hours” exclude Italian public holidays. First response targets: Standard (next Business Day), Priority (same Business Day). (Targets are goals, not guarantees.)

7.2 Maintenance. We perform routine maintenance and updates. Where feasible, scheduled maintenance is performed during low-traffic windows and announced in advance. Emergency maintenance may occur without notice.

7.3 Service Level Agreement (SLA).

  • Uptime Commitment. We will use commercially reasonable efforts to achieve Monthly Uptime Percentage (MUP) of 99.9%.
  • Measurement. MUP = (Total minutes in month – Downtime) ÷ Total minutes in month × 100%. “Downtime” excludes: (a) scheduled maintenance (up to 4 hours/month); (b) factors outside our reasonable control (Force Majeure); (c) outages attributable to Customer networks, devices, or third-party services; (d) beta features; (e) misuse or violations of these Terms.
  • Service Credits. If MUP in a calendar month is: <99.9% and ≥99.0% → 10% credit; <99.0% and ≥98.0% → 25% credit; <98.0% → 50% credit of the monthly Fee. Credits are applied to a future invoice on request within 30 days of the month-end and are your sole and exclusive remedy for unavailability.
  • Exclusions. SLA does not apply to Free Trials or non-paid plans.

8. User Account Management and Security

8.1 Security Measures. We implement appropriate technical and organizational measures designed to protect the Services and Content (e.g., access controls, encryption in transit, least-privilege access), taking into account the state of the art, the costs of implementation, and the nature, scope, context, and purposes of processing.

8.2 Incident Response. We maintain incident response processes and will notify you without undue delay upon becoming aware of a Personal Data Breach impacting your Content, consistent with our DPA.

8.3 Customer Security Obligations. You are responsible for your networks, devices, and credentials; enabling MFA where available; and promptly revoking access for departed users.

9. Customer and User Conduct

9.1 Prohibited Conduct. Without limiting Section 5, you must not use the Services in a way that: (a) harms minors; (b) facilitates unlawful surveillance; (c) infringes IP or privacy rights; (d) attempts to probe, scan, or test the vulnerability of any system or network without authorization; or (e) interferes with another user’s use of the Services.

9.2 Suspension. We may suspend or restrict access immediately where reasonably necessary to prevent harm, comply with law, or address a breach. We will notify you of the reason for suspension unless legally prohibited.

10. Consumers (B2C) - Special Terms (EU/Italy)

10.1 Consumer Status. If you are an individual using the Services for purposes unrelated to your trade or profession, you are a “consumer” under the Italian Consumer Code (D.Lgs. 206/2005) and enjoy the rights granted therein.

10.2 Mandatory Rights. Nothing in these Terms limits your non-waivable consumer rights under Applicable Law, including national consumer protection rules implementing the EU Consumer Rights Directive.

10.3 Conformity and Remedies. We provide digital services conforming to the contract. Where non-conformity occurs and is attributable to us, you are entitled to remedies as provided by law (restoration to conformity, price reduction, or termination).

10.4 Right of Withdrawal (Recesso). You have 14 days from contract conclusion to withdraw without giving reasons. You may lose this right once the digital service is fully performed with your express consent and acknowledgment of losing the right upon performance. We will provide a model withdrawal form in our help center and accept withdrawal notices by email to support@pulsessivo.ai. Any statutory refunds will be processed according to Applicable Law.

11. Data Protection and Privacy

11.1 Roles. As between the parties, Customer is the Controller (or a Processor acting on behalf of a third-party controller) and Pulsessivo.ai is the Processor when processing Personal Data on Customer’s behalf. The parties agree to and incorporate our Data Processing Agreement (DPA), which forms part of these Terms.

11.2 DPA Key Points. We will: (a) process Personal Data only on documented instructions; (b) ensure confidentiality; (c) implement appropriate security measures; (d) assist with data subject requests and compliance; (e) notify without undue delay of a Personal Data Breach; and (f) delete or return Personal Data upon termination unless retention is required by law.

11.3 Privacy Policy. Our Privacy Policy and, where applicable, our Youth Privacy Notice explain how we collect and use information, including Personal Data, and form part of these Terms. By using the Services, you acknowledge our privacy practices described there (e.g., categories of data, purposes, retention, and your rights).

11.4 Cookies and Analytics. We use cookies and similar technologies (including analytics) as described in our Cookie Policy. You can manage preferences via your browser or cookie banner; however, essential cookies are necessary for the Platform to function.

11.5 International Transfers. Where Personal Data is transferred outside the EEA/UK, we implement appropriate safeguards (e.g., Standard Contractual Clauses) as further detailed in the DPA.

11A. Hardware Products (Smart Bracelets)

11A.1 Product Description. We offer PULSESSIVO Smart Bracelets for purchase as hardware add-ons to the Services. Each bracelet is a wearable biometric monitoring device that integrates with the Platform to track heart rate, activity levels, and other performance metrics for individual players.

11A.2 Ordering and Payment. Bracelets are sold at €39.99 per unit (excluding VAT/IVA and shipping). Orders are placed via the Platform or by contacting support. Payment is due immediately upon order confirmation. Shipping costs and delivery times vary by destination and are calculated at checkout.

11A.3 Delivery and Risk Transfer. Title and risk pass to you upon delivery to the shipping address you provide. We use commercially reasonable carriers; delivery delays beyond our control (e.g., customs, force majeure) do not constitute a breach.

11A.4 Consumer Right of Withdrawal (Hardware). If you are a consumer, you have 14 days from the date you receive the bracelet to withdraw from the purchase and return it for a full refund (excluding shipping costs for return). The bracelet must be returned in original condition, unused, with all packaging and accessories. To exercise your withdrawal right, notify us at support@pulsessivo.ai and return the product within 14 days of your withdrawal notice. We will refund the purchase price (and original shipping cost, if applicable under Italian consumer law) within 14 days of receiving the returned product.

11A.5 Warranty (Hardware). Bracelets are warranted against defects in materials and workmanship for 12 months from delivery. If a defect occurs during the warranty period, we will (at our option) repair, replace, or refund the purchase price. This warranty does not cover damage from misuse, accident, normal wear, unauthorized modification, or failure to follow care instructions. To make a warranty claim, contact support@pulsessivo.ai with proof of purchase and a description of the defect.

11A.6 Conformity (Consumers). For consumers, bracelets must conform to the contract and applicable consumer protection laws. If a bracelet does not conform (e.g., defect, incorrect specification), you are entitled to remedies under Italian Consumer Code (restoration to conformity, price reduction, or termination) within the statutory periods.

11A.7 Limitation of Liability (Hardware). Our liability for hardware is subject to Section 16 (Limitation of Liability) of these Terms, except for death/personal injury, fraud, or liability that cannot be excluded under mandatory consumer law.

11A.8 Data and Privacy. Data collected by the bracelet (e.g., heart rate, activity) is transmitted to the Platform and processed in accordance with our Privacy Policy, Youth Privacy Notice, and DPA. You are responsible for informing players whose data is collected and obtaining any necessary consents. Where the relevant player is under 18, you are also responsible for obtaining parent/guardian consent and player assent where required by Applicable Law and for ensuring the device is used only for general wellness, workload, training, and sports performance purposes.

12. Confidentiality and Security of Customer Data

12.1 Confidential Information. “Confidential Information” means any non-public information disclosed by a party that is marked or otherwise reasonably understood as confidential, including business, technical, and security information and Customer Content.

12.2 Obligations. Each party will: (a) use the other’s Confidential Information only to perform under these Terms; (b) not disclose it to third parties except to Affiliates, personnel, and Subprocessors who need to know and are bound by confidentiality obligations; and (c) protect it with at least the same degree of care it uses for its own confidential information (no less than reasonable care).

12.3 Compelled Disclosure. A party may disclose Confidential Information when legally compelled, provided it gives prompt notice (where lawful) and cooperates to seek protective measures.

13. Intellectual Property; License; Feedback

13.1 Pulsessivo.ai IP. We and our licensors own all rights, title, and interest in and to the Services and Documentation. No rights are granted except as expressly stated.

13.2 Customer Content. You retain all rights in your Content. You grant us a limited, non-exclusive license to host, process, transmit, and display Content as necessary to provide and support the Services and to implement security, analytics, troubleshooting, and legal compliance.

13.3 Feedback. You may submit feedback or suggestions; we may use them without obligation or compensation.

14. Term, Termination, and Data Return/Deletion

14.1 Termination for Convenience. You may terminate at any time effective at the end of the current Subscription Term via the account settings or by written notice.

14.2 Termination for Cause. Either party may terminate: (a) on material breach not cured within 30 days of notice; (b) immediately if the other becomes insolvent, enters liquidation, or ceases business.

14.3 Effect of Termination. Upon termination: (a) your right to access the Services ceases; (b) unpaid Fees through the termination date become due; and (c) we will make Customer Content available for export for 30 days following termination (standard formats). After this retrieval window, we will delete Customer Content from active systems and schedule deletion from backups per our retention cycles, unless legally required to retain.

15. Warranties; Disclaimers

15.1 Mutual Warranties. Each party warrants that it has the legal power to enter into these Terms and will comply with Applicable Law.

15.2 Service Warranty. We warrant that the Services will perform materially in accordance with the Documentation. Your exclusive remedies for breach of this warranty are support, re-performance, or termination with a pro-rata refund of prepaid Fees for the unexpired portion of the Subscription Term where Applicable Law requires.

15.3 Disclaimers. Except as expressly stated, the Services and Documentation are provided “as is” and “as available” without warranties of any kind, and we disclaim all implied warranties (including merchantability, fitness for a particular purpose, and non-infringement) to the maximum extent permitted by law.

16. Limitation of Liability

16.1 Indirect Damages Excluded. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenues, goodwill, or data, even if advised of the possibility.

16.2 Liability Cap. Except for (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) breach of data protection obligations resulting in fines payable by the other party due to the first party’s violation; or (d) amounts that cannot be limited under law, each party’s aggregate liability arising out of or related to these Terms shall not exceed the Fees paid or payable by Customer to Pulsessivo.ai in the 12 months preceding the event giving rise to liability.

16.3 Consumer Notice. The above limitations apply subject to mandatory consumer protections that may grant higher protection.

17. Indemnity

17.1 By Pulsessivo.ai (IP). We will defend and indemnify Customer against third-party claims alleging that the Services, when used as permitted, infringe IP rights, and pay damages and reasonable legal fees awarded by a court or agreed in settlement. We may (at our option): (a) procure the right for you to continue using the Services; (b) modify or replace the Services to be non-infringing; or (c) terminate the affected Services and refund prepaid Fees for the unused period.

17.2 Exclusions. Our obligations do not apply to claims arising from: (a) modifications not made by us; (b) combination with items not provided by us; (c) use in breach of these Terms; or (d) Content.

17.3 By Customer. You will defend and indemnify us against claims arising from your Content, your breach of these Terms, or your violation of law or third-party rights.

18. Force Majeure

Neither party is liable for failure or delay due to events beyond its reasonable control (e.g., natural disasters, war, terrorism, labor disputes, government actions, internet or cloud provider failures). Obligations are suspended for the duration of the event.

19. Subprocessors and Third Parties

19.1 Appointment. You authorize us to use Subprocessors to provide the Services. We impose data protection obligations on Subprocessors equivalent to those in the DPA.

19.2 Current Subprocessors (illustrative list).

  • Hostinger - hosting and email infrastructure; primary processing in the EEA.
  • Google Analytics - analytics services; processing as configured (EEA and, where applicable, international transfers safeguarded under SCCs).
  • OpenAI - AI Chat Bot for customer support; processes user queries and support conversations via OpenAI API to provide natural language understanding and automated assistance (US; international transfers safeguarded under SCCs).
A detailed and up-to-date list is available on request and may be updated from time to time with notice where required.

20. Notices

Notices under these Terms must be in writing and delivered by email to the addresses specified by the parties (for Pulsessivo.ai: support@pulsessivo.ai). Legal notices must state “Legal Notice” in the subject line.

21. Publicity

We may include your name and logo in our customer lists and marketing materials, unless you are a consumer or you opt out by notifying us.

22. Export Controls and Sanctions

You represent that you are not subject to EU, UK, or U.S. sanctions and will not use the Services in violation of export control laws.

23. Waiver

Failure to enforce any provision is not a waiver. A waiver is effective only if in writing and signed by the waiving party.

24. Variation

We may update these Terms to reflect changes to the Services, law, or business. If changes materially affect your rights, we will provide reasonable prior notice. Continued use after the effective date constitutes acceptance.

25. Assignment

You may not assign or transfer these Terms without our prior written consent, except to an Affiliate or in connection with a merger or sale of substantially all assets, provided the assignee agrees to be bound by these Terms. We may assign these Terms to an Affiliate or in connection with corporate transactions.

26. Entire Agreement

These Terms, the Order, the DPA, the Privacy Policy, the Cookie Policy, and any applicable service descriptions constitute the entire agreement and supersede prior agreements relating to the subject matter. In case of conflict, the following order of precedence applies: (1) DPA (for data protection matters); (2) Order; (3) these Terms; (4) Documentation; (5) policies referenced herein.

27. Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be replaced with a valid provision that most closely achieves the original intent.

28. Governing Law and Jurisdiction; Dispute Resolution

28.1 Law and Forum. These Terms are governed by the laws of Italy. The courts of Turin (Foro di Torino) have exclusive jurisdiction over any dispute, subject to Section 28.2 for consumers.

28.2 Consumers. If you are a consumer residing in the EU/EEA or UK, you may bring proceedings in your local courts and enjoy the protection of mandatory consumer laws of your habitual residence.

28.3 Amicable Resolution. The parties will first attempt good-faith negotiations. You may also seek out-of-court settlement options (e.g., through the European Commission’s Online Dispute Resolution platform) as provided by Applicable Law.

29. Survival

Sections that by their nature should survive termination (including Fees, IP, Confidentiality, Data Protection, Disclaimers, Limitation of Liability, Indemnity, Governing Law, and Survival) shall survive.
